Nature of Service Relationship

Yama Industrials, Inc., including all divisions, subsidiaries, employees, contractors, and agents (collectively "Yama Industrials") provides technology services as an independent contractor. This document defines the boundaries of our service relationship with all clients.

What Yama Industrials IS:

βœ“ An independent contractor providing specific, defined technical services βœ“ A technology solutions provider focused on implementation and advisory services βœ“ A provider of cybersecurity guidance, advisory, and technical implementation βœ“ A vendor of specific technical products and services as explicitly contracted βœ“ A professional services firm with limited, clearly defined scope of work

What Yama Industrials IS NOT:

βœ— Not an Employee – We are not your staff, employee, or agent βœ— Not Your IT Department – We do not assume responsibility for your overall IT strategy or operations βœ— Not Your CISO – We are not your Chief Information Security Officer βœ— Not Your CIO – We are not your Chief Information Officer βœ— Not Your IT Director/Manager – We do not serve in any executive, management, or administrative IT capacity βœ— Not Your Systems Administrator – We do not assume day-to-day IT operational responsibility

βœ— Not Your Managed Service Provider (MSP) or Managed Security Service Provider (MSSP)

Client Retains Ultimate Responsibility For:

The client retains sole and exclusive responsibility for:

  • IT Strategy & Planning – Overall technology direction and roadmap

  • Infrastructure Design – Network architecture, topology, and design decisions

  • Vendor Selection & Management – Choosing and overseeing technology vendors

  • Budget & Purchasing Decisions – IT spending and procurement

  • Regulatory Compliance – Meeting industry, legal, and regulatory requirements

  • Cybersecurity Posture – Overall security strategy and risk management

  • Day-to-Day IT Operations – Ongoing management and operational oversight

  • Business Continuity – Disaster recovery and business resilience planning

  • Acceptance or Rejection of Recommendations – Implementation of any advice provided

Scope of Yama Industrials Services

Yama Industrials provides only those specific services explicitly defined in each service agreement, statement of work, or contract. Our services are:

  • Limited in Scope – Restricted to the specific technical deliverables contracted for

  • Advisory in Nature – Recommendations are guidance only; implementation is at client's discretion

  • Not Comprehensive – We do not assume responsibility for aspects of your IT infrastructure outside our specific contracted services

By engaging Yama Industrials for any services:

  1. The client acknowledges and agrees to this Independent Contractor Relationship

  2. The client agrees that Yama Industrials has not assumed any role, title, or responsibility beyond the specific services contracted for

  3. The client accepts sole responsibility for all IT and cybersecurity decisions outside the explicit scope of contracted services

  4. The client agrees to indemnify Yama Industrials for any claims arising from the client's own IT decisions, infrastructure design, or vendor management

Incorporation by Reference

This policy is incorporated by reference into all Yama Industrials service agreements, terms of service, and related documents. It is accessible at resources.yamaindustrials.com, as noted on all client invoices.
